Terms and Conditions of Use
Welcome to TAMEYO Group Lda (“TAMEYO”, “we”, “our” or “us”). These Terms and Conditions of Use (“Terms”) govern your access to and use of our websites, services, and any related platforms or digital products (collectively, the “Services”), and form a legally binding agreement between you and TAMEYO Group Lda, a company registered in Lisbon, Portugal.
By using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.
1. Legal Structure and Company Information
TAMEYO Group is a private limited liability company (Lda) registered in Portugal. We operate in accordance with the Portuguese Commercial Companies Code and applicable international regulations. Our limited liability status means that our shareholders’ financial liability is restricted to their share capital.
2. Scope of Services
TAMEYO provides creative, branding, website development, marketing, automation, AI-generated visual content, strategy consulting, and digital transformation services for businesses and entrepreneurs globally.
Service offerings are detailed on our website. Custom contracts are prepared for clients, and scopes are mutually agreed upon in writing
3. Service Engagement and Payment Terms

All work is subject to a signed Proposal or Agreement, detailing deliverables, timelines, fees, and intellectual property terms.

Invoices are issued in EUR (€), and payments are due within 7 days of issue unless otherwise agreed.

Portuguese clients are subject to IVA (VAT) at the applicable rate. Non-EU clients may be exempt per international rules.

Work on a project will not commence before initial payment or retainer is received.

Late payments will incur interest charges of 2% per month and may result in paused service delivery.
4. Ownership and Intellectual Property Rights

All materials, strategies, designs, and AI-generated content created by TAMEYO remain our intellectual property until full payment has been received.

Upon full payment, ownership of final deliverables transfers to the client, excluding any third-party licenses or pre-existing IP.

We reserve the right to showcase anonymized versions of our work in our portfolio and marketing channels.

The Client agrees that TAMEYO Group, or its relevant brand (e.g., TAMEYO AI Studios), will be credited for its professional services on all final deliverables. The specific wording and placement of this credit will be mutually agreed upon in writing within the signed Project Proposal or Agreement. The Client shall not remove, obscure, or alter this credit without the express written consent of TAMEYO Group. Removal or alteration of this credit shall be considered a material breach of this agreement.
5. GDPR and Data Protection Compliance

TAMEYO complies with the General Data Protection Regulation (EU) 2016/679 ("GDPR") and Portuguese Law No. 58/2019.
We only collect and process data necessary for: -

6. Cookies and Tracking

7. Limitation of Liability
To the maximum extent permitted by law:

Our liability is capped at the amount paid by the client for the specific services rendered.

TAMEYO shall not be liable for any indirect, consequential, or incidental damages, including loss of profit, reputation, or business opportunities.
8. Employment and Labor Compliance
TAMEYO operates in compliance with the Portuguese Labor Code. For internal staff:

Working hours, leave, contracts, and terminations are aligned with Articles 93–195 of the Código do Trabalho.

Remote work is subject to written agreements and regular evaluation
9. Social Security and Contributions

All employees and consultants hired under Portuguese law are registered for:

10. Accounting and Annual Audit
As a Portuguese Lda, TAMEYO is required to:

Prepare balance sheets, income statements, and retain reserves as applicable

Conduct an independent audit if statutory thresholds are exceeded
11. Company Policies and Ethics
TAMEYO upholds a zero-tolerance policy toward:

Bullying
We encourage internal reporting of any unethical behavior through our confidential whistleblower channel, as defined in Portuguese Law No. 93/2021.
12. Termination and Cancellation Policy
Either party may terminate the contract with 14 days’ written notice, subject to:

Pro-rata billing for services rendered

Retention of ownership of IP until full payment

Refunds only in cases where no work has begun and are at the sole discretion of TAMEYO
13. Client Responsibilities and Timely Collaboration
13.1. Provision of Materials:
The Client agrees to provide all required materials, content, approvals, and access credentials necessary for the execution of services within a reasonable timeframe, as specified in writing at project initiation.
13.2. Timely Feedback:
The Client agrees to provide feedback and approvals in a timely manner, typically within 3 business days of a request, to ensure project momentum is maintained.
13.3. Effect of Delays:

Delays caused by the Client's failure to submit materials, feedback, or approvals will directly impact delivery timelines. Unless otherwise agreed in writing, such delays will not suspend or defer the Client's payment obligations as outlined in the project's payment schedule.
13.4. Content Compliance:
The Client is responsible for ensuring that all provided content does not infringe on third-party intellectual property rights and complies with all applicable laws.
14. Project Delays, Dormancy, and Abandonment
14.1. Notice of Delay:
If a Client anticipates a delay or wishes to pause a project, they must notify TAMEYO in writing at least 14 business days in advance. Failure to do so may result in the project being de-prioritized.
14.2. Dormant Projects:
A project will be deemed Dormant if: a) No meaningful client communication has been received for 21 consecutive calendar days; b) Required assets or feedback are overdue by more than 14 business days without prior notice; or c) The client fails to respond to two (2) separate written follow-ups from TAMEYO requesting action or input.
14.3. Project Abandonment and Archiving:
A project will be considered Abandoned if it remains in a Dormant state for 30 consecutive calendar days. Once marked as Abandoned, the project will be archived, removed from active scheduling, and all outstanding invoices will become immediately due.
14.4. Reactivation:
To restart a Dormant or Abandoned project, a non-refundable Reactivation Fee of €150 will be required. The project will then be rescheduled based on TAMEYO's future availability, and the original timeline is not guaranteed
14.5. Final Delivery Upon Abandonment:
If a project is Abandoned, all completed or partial work will be handed over to the Client in its current "as-is" state. If applicable (e.g., for website projects), platform ownership will be transferred to the Client’s registered email address. No further edits, troubleshooting, or support will be provided.
14.6. Data Deletion:
TAMEYO is not obligated to store incomplete, abandoned, or archived project files beyond 90 days from the date the project is marked Abandoned. After this period, all project assets may be permanently deleted.
15. Client Conduct and Fair Use
15.1. Professional Conduct:
Clients agree to engage with all TAMEYO team members in a professional and respectful manner. Behavior deemed by TAMEYO to be manipulative, abusive, disrespectful, or constituting emotional coercion or "gaslighting" is a material breach of these Terms and may result in immediate contract termination without refund.
15.2. Abuse of Services:
A project will be considered Abandoned if it remains in a Dormant state for 30 consecutive calendar days. Once marked as Abandoned, the project will be archived, removed from active scheduling, and all outstanding invoices will become immediately due.
16. Client Responsibilities
Clients agree to:

Provide all necessary materials and approvals on time

Respond to communication within 3 business days

Avoid infringing content or instructions that violate third-party rights
Delays caused by the client will affect delivery timelines.
17. Confidentiality
All client data, materials, and discussions are treated as strictly confidential, except:

When legally compelled to disclose

When content is already public domain
-
For anonymized use in training our internal AI systems (if agreed)
18. Force Majeure
TAMEYO shall not be held liable for delays or non-performance due to:

Natural disasters

Acts of terrorism

Pandemic lockdowns
-
Governmental restrictions
-
Infrastructure failures
Force majeure will pause contract terms without penalty.
19. Governing Law and Jurisdiction
These Terms shall be governed by the laws of Portugal. Any disputes will be resolved in the Commercial Court of Lisbon, unless another jurisdiction is agreed in writing.
20. AI-Generated Content and Licensing
By commissioning TAMEYO for AI-generated work:

You acknowledge that some content is created with machine learning models, which may be trained on publicly available datasets.

TAMEYO holds responsibility for curating, editing, and ensuring quality of AI-generated outputs.

Commercial rights are granted only upon full payment, and unless otherwise stated, exclusive rights are not implied.
21. Use of Third-Party Tools and API Integrations
TAMEYO may use licensed third-party platforms including:

OpenAI, Midjourney, Adobe Firefly, Meta platforms, etc.

Integrations with Shopify, Wix, Klaviyo, Notion, and Google Workspace
You agree that such third parties’ terms apply in parallel, and TAMEYO is not liable for service interruptions or changes initiated by these providers.
22. Platform Access and Availability
We aim for 99.5% uptime on all client-facing platforms and internal portals. However:

Access may be restricted during maintenance or upgrades

We reserve the right to limit or suspend accounts violating these Terms or laws

No SLA is implied unless specified in contract
23. Freelancers and Subcontractors
TAMEYO may work with vetted freelance professionals and subcontractors under strict NDAs. We:

Ensure alignment with Portuguese tax law for Green Receipts (Recibos Verdes)

Guarantee that all subcontractors meet confidentiality and quality standards
24. Compliance With Local and International Law
We comply with:

Portugal’s commercial and tax regulations
-
European Union directives (including GDPR, VAT OSS, and Anti-Money Laundering)
-
U.S. and international sanction compliance laws, where relevant
25. Dispute Resolution Process
25.1 – Informal Resolution
Parties agree to attempt good faith negotiation for 30 days before initiating formal legal proceedings.
25.2 – Formal Resolution
If unresolved, matters shall be escalated to commercial arbitration under the rules of Centro de Arbitragem Comercial de Lisboa, with one arbitrator appointed jointly by both parties.
